This is an agreement between you and ("Elite Team Solutions Inc."). Before you use Elite Team Solutions Inc. project management software (the "product") for the first time, please read this disclaimer and service agreement (the "agreement").
By clicking the "Submit" button on the site, you acknowledge that you have read and understood, and you agree to be bound by both these Terms of Service, and our project team's Privacy Policy, If you do not agree to be bound by these Terms of Service and Privacy Policy, you may not use the site and the product "Elite Team". If you are entering into these Terms of Service and Privacy Policy on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms of Service and Privacy Policy.
Elite Team Solutions Inc. OWNS THE DOMAIN NAME ourprojectteam.com as well as the web-based Product "Elite Team" available at www.ourprojectteam.com (the "site").
Ourprojectteam provides the online anytime, anywhere project tracking solution for you. Unless explicitly stated otherwise, any new features that augment or enhance, or modifications to the current product "Elite Team", or any service or hosted application offered or operated by Elite Team Solutions Inc., shall be subject to these Terms of Service.
Ourprojecteam allows you to use the product and documentation available at the site and to host your projects' information on this site ("the service") by opening an account with ourprojecteam (the "account") and purchasing from ourprojecteam monthly subscription to use such services. You can use this service as long as you abide by the terms of this agreement and as long as your account is not terminated by you or by Ourprojecteam.
The storage space and functionality available for your account will be determined by the type of subscription you purchase.
You are responsible for all activity under your account, including the activity of other users who have been added to your account by you or by another user of your account.
This service cannot be used in a way that is against the law. You also may not use it in a way that harms ourprojecteam or our affiliates, resellers, distributors, service providers and/or suppliers.
You are responsible for all activity occurring under your account(s), user name(s), password(s), or URLs provided or assigned to you, or provided by you to anyone else, which you shall maintain as confidential and not disclose except to permit the use of the site in accordance with this Agreement.
You shall abide by all applicable local, state, national and foreign laws, treaties and regulations in connection with your use of the site and the product. You agree that any material submitted for use will not contain anything leading to an abusive or unethical use of the product, the host Server or the company. Abusive and unethical materials and uses include, but are not limited to, pornography, obscenity, nudity, violations of privacy, computer viruses, harassment, any illegal activity, spamming advocacy of an illegal activity, and any infringement policy.
You shall: (i) notify Elite Team Solutions Inc. immediately of any unauthorized use, theft or loss of any password or account or the site or the product "Elite Team" or any other known or suspected breach of security; (ii) report to Elite Team Solutions Inc. immediately and use reasonable efforts to stop immediately any copying or distribution of the site or the product "Elite Team" that is known or suspected by you or your Company; and (iii) not provide false identity information to gain access to, or use, the Site or the product.
If you sign up for paid subscription, the payment for the subscription shall be made by such payment methods as shall be communicated to you by ourprojecteam. Each monthly payment of this fee will grant you one month access to ourprojectteam subscribed for services and to all data and projects associated to your hosted account.
You hereby authorize Elite Team Solutions Inc. to, automatically bill your paypal account (or credit card) every thirty days for fees due for your access to ourprojectteam for the ensuing thirty (30) days. You agree to provide Elite Team Solutions Inc. with complete and accurate paypal account (or credit card) , billing, contact and account information. This information includes a valid paypal account (or credit card) number, the security number for said account, the credit card's expiration date, the identity of the credit card account holder, the type of card, and card holder's billing address, your name, your company name, street address, email address, name and telephone number of an authorized billing contact and administrator of these Terms of Service. You agree to update this information within thirty (30) days of any change to it. If the contact or credit card information you provide is false or fraudulent, Elite Team Solutions Inc. reserves the right to terminate your access to ourprojectteam in addition to any other legal remedies. If you believe or have been improperly charged by Elite Team Solutions Inc., for any services or otherwise, you must immediately contact us.
All charges are non-refundable unless expressly stated otherwise, or otherwise provided by law. No refund will be given for unused portions of your license period. The costs of any returns will be at your expense, unless otherwise provided by law.
Elite Team Solutions Inc. owns all right, title and interest in and to the ourprojectteam and the product "Elite Team", and any part thereof, including all intellectual property rights therein, such as rights for the ownership rights and all intellectual property rights to all software, documentation and work created or completed for the site ourprojectteam and the product "Elite Team".
You acknowledge and agree that the site ourprojectteam and the product "Elite Team" contain proprietary and confidential information, and valuable trade secrets of Elite Team Solutions Inc., that are protected by applicable intellectual property and other laws.
You agree that you shall defend, indemnify, save and hold Elite Team Solutions Inc., our agents, employees or assigns harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney's fees associated with your improper use of the service such as abusive or unethical use of the product, the Host Server or the company. Abusive and unethical materials and uses include, but are not limited to, pornography, obscenity, nudity, violations of privacy, computer viruses, harassment, any illegal activity, spamming advocacy of an illegal activity, and any infringement policy.
The only relationship between Elite Team Solutions Inc. and YOU intended to be created by this Agreement is that of subscriber (both free and paid) of our online services and neither party shall be or represent itself to be an agent, employee, partner or joint venture of the other, nor shall either party transact any business in the name of the other or on the other's behalf or in any manner make any promises, representations or warranties or incur any liability, direct or indirect, contingent or fixed, for or on behalf of the other party.
Any dispute or controversy arising out of or relating to this Agreement or the making, performing or interpreting of it, shall be settled by arbitration in accordance with the rules of conciliation and arbitration of the state of California.
